How to Change Your Registered Office in Pennsylvania
Whether you're switching to a Commercial Registered Office Provider for the first time, changing from one CROP to another, or moving your business address, you'll need to update your registered office with the Pennsylvania Department of State.
When do you need to change your registered office?
Common situations include: hiring a CROP for the first time and replacing your personal address, switching from one CROP to another provider, moving your business to a new physical address in Pennsylvania, or transitioning from a CROP back to your own address.
How to file the change
The form you need is the Change of Registered Office (DSCB:15-143). You can file online or by mail.
To file online (recommended):
- Navigate to file.dos.pa.gov
- Search for your entity by name or entity number
- Select the option to change your registered office
- If switching to a CROP: select "Commercial Registered Office Provider" and enter the CROP's name
- If switching to your own address: enter your new Pennsylvania street address
- Submit the form. The online filing fee is $5
Changes are typically processed within 1–2 business days.
To file by mail: Download form DSCB:15-143 and mail to the Bureau of Corporations, P.O. Box 8722, Harrisburg, PA 17105-8722, with a check for $70.
Important considerations
You must have a valid contract with a CROP before listing their name on your filing. Listing a CROP without an agreement can subject you to civil and criminal penalties under 15 Pa.C.S. § 109. If you're leaving a CROP, give them proper notice per your service agreement (typically 30 days).
Keep in mind that CROPs cannot be used for filings requiring a principal place of business, such as Fictitious Name registrations.
