The 2027 Pennsylvania Business Dissolution Deadline

A critical deadline is approaching for every business registered in Pennsylvania. Starting in 2027, the Department of State will begin administratively dissolving businesses that fail to file their annual reports.

What's happening in 2027?

Pennsylvania's new annual reporting requirement (Act 122 of 2022) includes a transition period. For reports due in 2025 and 2026, the state will not impose penalties for failure to file. Starting with reports due in the 2027 calendar year, the enforcement mechanism activates.

If you fail to file your 2027 annual report, the Department of State will administratively dissolve, terminate, or cancel your business registration six months after your filing deadline.

When the Department files a Statement of Administrative Dissolution against your entity, several things happen:

Can I reinstate?

Domestic entities (businesses formed in Pennsylvania) can reinstate with no time limitation. You'll need to submit a reinstatement application, pay a reinstatement fee, and provide current annual report information plus fees for each delinquent year.

Foreign entities (businesses formed elsewhere but registered in PA) face a worse situation. A terminated foreign registration cannot be reinstated. You must submit a new Foreign Registration Statement. If your original business name has been claimed by another entity during the termination period, you'll need to register under a different name.

How to protect your business

The simplest protection is filing your annual report on time every year. Set calendar reminders for your entity's deadline. Make sure your registered office address is current so you receive the Department's reminder notices.
