Administrative Dissolution

The involuntary termination of a domestic Pennsylvania business entity's legal existence, initiated by the PA Department of State after a compliance failure such as missing annual reports. A domestically dissolved entity can apply for reinstatement. Compare with Administrative Termination for foreign entities.

Administrative Termination

The involuntary ending of a foreign entity's authorization to do business in Pennsylvania, initiated by the PA Department of State. Unlike administrative dissolution, terminated foreign entities cannot reinstate — they must re-register as a new foreign entity.

Annual Report (PA)

A mandatory annual filing required of all Pennsylvania business entities under Act 122 of 2022, effective 2025. Filed at file.dos.pa.gov by entity-type deadline: corporations June 30, LLCs September 30, all others December 31. Fee: $7 for most for-profit entities. The annual report confirms or updates the entity's registered office, officers, and principal address.

Certificate of Authority

The document issued by the PA Department of State that authorizes a foreign entity (formed in another state) to conduct business in Pennsylvania. Foreign entities must maintain their Certificate of Authority and file PA annual reports to remain in good standing.

Commercial Registered Office Provider (CROP)

A business licensed by the Pennsylvania Department of State under 15 Pa. C.S. § 109 to serve as the registered office for other business entities. CROPs receive legal process and government correspondence on behalf of their clients. Pennsylvania's equivalent of a registered agent in most other states.

DSCB

Department of State Corporation Bureau (now Bureau of Corporations and Charitable Organizations). The PA state office responsible for business entity registrations, annual reports, and CROP licensing. Forms are identified by DSCB number (e.g., DSCB:15-108).

DSCB:15-108

The official form for Statement of Change of Registered Office (change of registered address for an existing entity). Filed at file.dos.pa.gov. Fee: $5.

DSCB:15-109

The official form for Statement of Commercial Registered Office, used by providers to register as a licensed CROP with the PA DOS. Fee: $70.

DOS File Number

A unique 10-digit identifier assigned by the PA Department of State to every registered business entity. Appears on your Certificate of Organization and on file.dos.pa.gov. Required to file annual reports and change registered office.

Foreign Entity

A business entity formed in a state or country other than Pennsylvania that has registered to conduct business in Pennsylvania by filing for a Certificate of Authority. Subject to the same annual report requirements as domestic entities, but faces permanent termination (not reinstatement) if administratively terminated.

Governor

Under Pennsylvania's Consolidated Statutes, a governor is a member of the governing body of an LLC (manager or member) or corporation (director). Governors' names and addresses appear on annual reports and are part of the public record.

Registered Office

Under 15 Pa. C.S. § 109, every Pennsylvania business entity must maintain a registered office — a physical address in Pennsylvania where the entity can be reached by courts and government agencies during business hours. Not a PO box or virtual address.

Service of Process

The legal delivery of court documents (summons, complaints) to a business entity at its registered office. If a business is sued, papers are served at the registered office address. Missing a service of process can result in a default judgment.

The Pennsylvania statute governing registered offices and Commercial Registered Office Providers. This provision establishes the CROP framework, licensing requirements, and the obligations of registered office providers.

Act 122 of 2022

The Pennsylvania law that created the annual report requirement for all business entities, effective 2025. Also established the 2027 enforcement deadline for entities that have never filed an annual report.
