New PA rule in effect — 2027 dissolution cliff

Starting in 2027, Pennsylvania will dissolve entities that miss their annual report. Six months later. No warning email.

Most PA business owners don't know this is coming. The filing is $7. The fee most ignore for years. But if the Commonwealth dissolves your entity, reinstatement costs thousands — and for foreign entities, it isn't available at all. We're a licensed PA Commercial Registered Office Provider in Erie. We watch your deadline and file the report. From $99 a year.

What the new rule actually says

Failure to file your annual report results in administrative dissolution, termination, or cancellation six months after the applicable deadline. For foreign entities, reinstatement is not available — the entity name and registration are gone. This is the first year the consequence applies. The $7 filing most owners have been ignoring just became the most important $7 of the year.

— Commonwealth of Pennsylvania, Act 122 of 2022 annual reporting provisions

Three things happen when the Commonwealth dissolves your entity — none of them are reversible for free.

This isn't a late fee situation. Once dissolution is processed, the shield your LLC or corporation provides starts coming apart from the inside.

01 — IMMEDIATE

Your liability shield evaporates

The entire reason you formed an LLC or corporation in the first place — the separation of business and personal liability — ends the day dissolution is processed. Contracts you signed before dissolution can be challenged. Personal assets become exposed.

Reinstatement: $1,000+ in legal fees and weeks of downtime — if you're domestic.
02 — WITHIN WEEKS

Banks and processors freeze accounts

Banks run periodic good-standing checks on commercial accounts. A dissolved entity triggers immediate review. Merchant processors suspend. ACH debits fail. Payroll can bounce mid-cycle. You won't find out at a convenient time.

We've watched this happen to a contractor mid-invoice cycle. It's brutal.
03 — PERMANENT (foreign)

Your business name is gone

After dissolution, your entity name returns to the available pool. A competitor or squatter can register it. For foreign entities, reinstatement is not offered — the Commonwealth does not walk this back. You'd have to re-register under a different name.

Foreign entities: no reinstatement path. That's the actual statute.
