What the new rule actually says
Failure to file your annual report results in administrative dissolution, termination, or cancellation six months after the applicable deadline. For foreign entities, reinstatement is not available — the entity name and registration are gone. This is the first year the consequence applies. Your liability shield evaporates

Banks and processors freeze accounts
Banks run periodic good-standing checks on commercial accounts. A dissolved entity triggers immediate review. Merchant processors suspend. ACH debits fail. Payroll can bounce mid-cycle. You won't find out at a convenient time.
Your business name is gone
After dissolution, your entity name returns to the available pool. A competitor or squatter can register it. For foreign entities, reinstatement is not offered — the Commonwealth does not walk this back. You'd have to re-register under a different name.
